Ringette Alberta completed a study on board effectiveness (2 years ago) and recommended associations reduce their board size.  Historically managers rarely attend board meetings, so this is primarily an administrative change.

3.9

Any individual who is eighteen (18) years of age or older and is a Member of BRA, may be nominated for

election as a Director.

Any individual may be nominated for election as a Director who is eighteen (18) years of age or older and;

·         is a Member of BRA

·         or has been a Member of BRA in the past,

The board has been approach by former players who want to be able to “give back to the association”, the change in definition allows alumni members to volunteer for board positions.  Alumni members cannot vote at an AGM, so current membership will need to elect an alumni member.

3.10

Any individual, who has served as a Director for one full year immediately prior to nomination, may be

nominated for election as President.

Any individual, who is a current member and has served as an elected Director for one full year prior to nomination, may be nominated for election as President.

This change would allow former directors to be able to run for President (e.g. if they took a few years off from the board), instead of only the current board.

3.18

The position of any Director will be vacated automatically if the director:

a)        Is found by a court to be of unsound mind;

b)       Upon the Director’s death; and

c)        The Director is not a member

3.19

A Director may be removed from their position if they do not fulfill their job and fails to attend seven (7) meetings of the board, by a majority vote of the Board of Directors. The Director will be given notice of, has the opportunity to be present and to be heard at the meetings where such is put to a vote.

a)        they fail to attend seven (7)  meetings of the board during their term; or

b)       the result of a disciplinary committee recommendation.

Definition changed to ensure full transparency exists if a board member is removed for not performing their duties.  The disciplinary committee process must be fully documented which is critical if the decision was appealed to Ringette Alberta.  Put’s greater accountability on the board if a removal was every required.

3.25 Directors acting as Coach, Trainer or Manager

No Director may act as a Head Coach, Assistant Coach, Trainer or Manager for any house league team unless approved by the Board of Directors, prior to coach placement/team selection

Historically the majority of board members are also coaches and managers.  Most board members have expressed they would vacate their position if they aren’t eligible for team staff positions.  Every year the board votes in favor of dual position so this is mainly an administrative change.

5.5 (b)

Special Meetings - shall be called by the President or Secretary upon receipt by him/her of a petition signed by one-third of the members in good standing, setting forth the reasons for calling such meeting, which shall be by letter sent to each member, eight days prior to the meeting.
